Terms & Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you") and Desa Solutions India Pvt Ltd ("Company", "we", "us", "our"), the owner and operator of the OsherVest WhatsApp CRM platform ("Platform" or "Service"), accessible at oshervest.com.

By registering for an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

• You must be at least 18 years of age to use OsherVest.
• You must have a valid WhatsApp Business Account registered with Meta.
• You must use the Service for lawful business purposes only.

3. Account Registration

You must provide accurate, current, and complete information when creating your account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use at support@oshervest.com.

4. Platform Services

OsherVest provides access to the following services ("Services") subject to your selected plan:

• WhatsApp Business Platform message broadcasting and automation
• Visual chatbot and auto-flow builder
• Message template management
• Contact and CRM management
• Team inbox and agent collaboration tools
• Analytics and reporting
• Wallet management

5. WhatsApp Business Platform Usage Obligations

By using the Platform, you agree and acknowledge that:

• You must comply with Meta's WhatsApp Business Policy and Meta Platform Policies at all times.
• You must obtain lawful opt-in consent from all contacts before sending them WhatsApp messages.
• You must not use the Platform to send spam, unsolicited messages, misleading content, or content that violates any applicable law.
• You understand that Meta may reject templates, restrict messaging, or suspend your WABA for policy violations — and we are not responsible for such actions by Meta.
• WhatsApp conversation charges are Meta's charges and are not set solely by OsherVest.

6. Prohibited Uses

You agree NOT to use the Platform to:

• Send unsolicited, bulk spam, or harassing messages
• Distribute false, misleading, or fraudulent financial information
• Violate any applicable law, regulation, or third-party right
• Scrape, crawl, or extract data from the Platform
• Reverse engineer, decompile, or attempt to access source code
• Impersonate any person, entity, or organisation
• Use the Platform for illegal financial solicitation, Ponzi schemes, or fraud
• Share your account credentials with unauthorised individuals

Violation of any prohibited use may result in immediate account suspension without refund.

7. Subscription, Billing & Payment

7.1 Plans & Fees

OsherVest offers Starter (free), Growth, and Enterprise plans as described on our Pricing page. Paid plan fees are charged on a monthly or annual basis in advance.

7.2 Conversation Charges

WhatsApp Business Platform conversation charges are separate from OsherVest platform fees. You must maintain sufficient wallet credits to send messages.

7.3 Payment

All payments are processed in INR via our payment gateway partner (Razorpay or equivalent). All prices are exclusive of applicable GST (18%) which will be charged additionally.

7.4 Renewal

Subscriptions auto-renew at the end of each billing cycle. You may cancel auto-renewal at any time from your account settings.

8. Intellectual Property

All intellectual property in the OsherVest Platform is owned by or licensed to Desa Solutions India Pvt Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for your business purposes. You retain ownership of all data you upload to the Platform.

9. Data & Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

• Desa Solutions India Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of OsherVest.
• Our total aggregate liability shall not exceed the amount paid by you in the three (3) months immediately preceding the event giving rise to the claim.
• We are not liable for losses arising from Meta platform outages, WhatsApp Cloud API disruptions, or policy changes by Meta.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

12. Indemnification

You agree to indemnify, defend, and hold harmless Desa Solutions India Pvt Ltd, its directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your access at any time for conduct that violates these Terms, applicable law, or Meta's policies. Termination does not entitle you to a refund of any prepaid subscription fees unless specified in our Refund Policy.

14. Modifications to Terms

We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-platform notification.

15. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Gautam Buddha Nagar (Noida), Uttar Pradesh, India.
